The Vertex Leadership Team includes the Corporate Leadership Team, which establishes Vertex's long-term growth strategies and manages operational execution, and the Board of Directors, which provides corporate governance and oversight.
President and Chief Executive Officer
Under David’s stewardship, Vertex has refined its core strategic direction as well as the underlying Vertex Enterprise technology, and has continued to expand globally. During his tenure as President, Vertex has been named by Working Mother magazine as one of the 2016 “Working Mother 100 Best Companies,” and as a Top Workplace in the Philadelphia region by Philly.com.
Previously, David was Vice President, Chief Financial Officer, and Executive Vice President at Vertex. Prior to joining Vertex David was Principal and Vice President at The Mid Atlantic Companies Ltd.
David holds a Bachelor of Science in Finance from Lehigh University. David is also on the Advisory Board for Corporate Social Responsibility at the Satell Institute.
Chief Financial Officer
As Chief Financial Officer, Lisa is responsible for leading the development of the financial strategy to support the business, including investment strategies, five-year financial plans, and financial reporting for the Board.
Lisa and her team handle financial budgeting, planning, analysis, reporting, audit, and tax compliance for Vertex, as well as all risk management, SSAE-16 audits, payroll, collections, and treasury responsibilities. She also advises on programs that guide structure, processes, people and systems for career development across the organization. Prior to joining Vertex, Lisa was a Controller at Kenexa.
She holds a Bachelor of Science in Accounting from LaSalle University and is a Certified Public Accountant.
Chief Advisor and Tax Strategist
Michael Davis is the Chief Advisor and Tax Strategist at Vertex, responsible for helping to guide and inform our tax data management strategy.
Michael joined Vertex from Nestlé USA where he was involved in over 40 acquisitions. He has extensive experience in tax planning, compliance, audit controversy, provision and operations, as well as tax data management.
During his career at Nestlé, Davis led the team that built the first digital corporate tax department, which has been recognized for its industry-leading best practices for automation and standardization of global platforms including SAP, Oracle and Vertex.
Barb Dyson is Vice President of Human Resources, responsible for the development and execution of human capital strategies in support of the overall business. Barb has significant experience in recruitment, total rewards, performance management and employee relations, talent and leadership development, career planning, succession planning and change management.
In her role Barb and her team focus on organizational and talent strategies to attract, develop, reward and retain the talent needed to deliver value to our customers. She also advises on programs that guide the continued development of structure, processes, people and systems across the organization. Prior to joining Vertex, Barb was Director of Human Resources at Vis.align.
Barb holds a B.S. in Business Administration from Widener University and has achieved Senior Certified Professional in Human Resources (SHRM-SCP) certification. She is a member of the Society for Human Resource Management and the Human Resources Council III sponsored by the Conference Board. Barb currently serves on the Delaware County Regional Board for Big Brothers Big Sisters Independence Region.
Chief Marketing Officer
As Chief Marketing Officer, Jeff Foucher is responsible for all global marketing functions including brand, communications, product marketing and demand generation.
Prior to joining Vertex in 2017, Jeff spent 12 years at CA Technologies (NASDAQ: CA) in senior leadership positions spanning corporate, product, and field marketing. Earlier in his career, Jeff honed his marketing chops with AT&T and at advertising agencies Y&R and McCann-Erickson where his client roster included IBM, AT&T and General Motors.
Jeff holds a B.A. in Communications from the University of Michigan.
Executive Vice President
David is Executive Vice President and a member of the Executive Council, responsible for guiding strategy, operations and financial management for the company.
David led the creation of the Vertex Transaction Tax Returns Processing Center in Naperville, Illinois in 2008, which includes outsourcing and business development of Vertex's tax processing returns operation. He also led the launch of the Vertex SMB cloud offering to mid-market ERPs and eCommerce platforms in 2014, which led to the Vertex® Cloud Indirect Tax offering in 2017. Prior to joining Vertex, David was Chief Operating Officer at Coates Analytics LP.
David received an M.B.A. from Villanova University, an M.A. from the City College of the City University of New York, and his B.S. from the University of Maryland. He is a noted author and an Adjunct Faculty member at Villanova University School of Business, and a teacher and coach for senior executives who are Villanova students and alumni.
Senior Vice President
Gerry Hurley is Senior Vice President at Vertex, and as a member of the Executive Council, Gerry is responsible for guiding operations and financial management for the company.
Gerry is responsible for providing leadership and guidance to colleagues in product management and partners and alliances, market intelligence, emerging business models, data management, and services marketing.
Gerry is a graduate of St. Joseph’s University, where he earned a Bachelor of Science degree in Accounting.
Vice President of Global Sales
As Vice President of Global Sales, Chris Jones is responsible for overseeing the Sales function and executing Vertex’s global sales strategy for all solutions.
Chris provides executive leadership to the company’s sales management team to support their execution in Vertex’s core and emerging markets. In addition, he provides the strategic counsel that guides the activities of the entire global sales team to ensure that company revenue goals are achieved.
Since joining the company in 1992, Chris has served in various sales, marketing and sales management positions. With an extensive knowledge of the tax technology industry, Chris assists clients from varying industries in solving their tax optimization challenges.
Chris holds a B.S. in Marketing from Temple University.
Chief Technology Officer
Jen Kurtz is the Chief Technology Officer (CTO) at Vertex, responsible for all commercial software development, as well as aligning the technology vision and direction of Vertex solutions with the business strategy. Previously, Jen served as a lead member of the software development and commercial enterprise architecture teams.
Prior to joining Vertex, she was a software engineer and developer at Verizon and Platinum Technology respectively. Jen is a member of the Women's Leadership Forum and holds a Master of Science in Computer Science from Villanova University and a B.S. in Computer Science from Bloomsburg University of Pennsylvania.
Vice President of Tax Research
Bernadette Pinamont is the Vice President of Tax Research at Vertex, Inc., responsible for helping customers meet strategic needs, ensure compliance and enhance operational efficiency, as well as further define and expand the reach of tax research. Bernadette previously served as chief tax officer for income tax in the Vertex Chief Tax Office.
Bernadette's areas of expertise include domestic and international income tax, as well as transfer pricing for the pharmaceutical and manufacturing industries. Prior to joining Vertex, Bernadette was Vice President Tax for Endo Pharmaceuticals Inc. Bernadette's 30-year tax career also includes the corporate tax departments of AstraZeneca, DuPont, Syngenta, Tyco Toys and, initially, EY.
Bernadette is a graduate of Seton Hall University, from which she earned both a B.S. in Accounting, Summa Cum Laude, and her Juris Doctor. She is a licensed attorney and a CPA.
Vice President of Business Development
Rebecca Polley is Vice President of Business Development at Vertex, Inc., responsible for leading the company’s global business development team to increase sales and company growth.
Rebecca leads teams focused on expanding Vertex’s global presence in Europe and other regions of the world with current in-market products. In addition, she supports strategic business development relationships with Vertex partners and alliances outside North America. Prior to joining Vertex, Rebecca was Chief Financial Officer for Traxpay.
Rebecca holds a B.B.A. in Accounting from Southern Methodist University. She is a Certified Public Accountant and is a member of Financial Executives International (FEI) and the American Institute of CPAs (AICPA).
Vice President, Product Support
Steve Richard is Vice President, Product Support and leads Vertex's customer support, documentation, and training functions.
As the leader of Product Support, he is also responsible for ensuring client value realization that leads to retention and long-term loyalty. Steve's team achieves this by listening to the clients, understanding their needs, and relentlessly pursuing value.
Steve is also involved with providing leadership for teams involved with enterprise program management and creation of the company’s commercial strategy.
Steve joined Vertex in 1999 and holds a Bachelor of Science from The Pennsylvania State University and an MBA from the University of Houston.
Bryan Rowland is the General Counsel at Vertex. As head of the legal team, Bryan is responsible for all general corporate and transactional matters. He is responsible for assessing potential new markets, contributing to cybersecurity and enterprise risk management activities, and providing oversight of all legal affairs.
Bryan also advises on privacy and security issues around technology, supports on-premise and SaaS strategies, and guides corporate governance. Prior to joining Vertex, he held various roles at Checkpoint Systems, including Senior Vice President, General Counsel, Chief Compliance Officer and Corporate Secretary.
Bryan holds a Juris Doctorate degree from Villanova University Charles Widger School of Law and a Bachelor of Psychology and Philosophy degree from Towson University.
Area Vice President of Client Relationship Development in North America
Penny Vennerholm is Area Vice President of Client Relationship Development in North America for Vertex.
With more than 20 years at Vertex, she has held a variety of business and client leadership roles. Penny’s experience with tax executives as well as Vertex software and service solutions gives her a valuable perspective to bring to clients.
In her current role, Penny leads the Sales and Account Management function. She provides leadership and oversight of all sales operations specific to the growth of Vertex’s market share in North America. In addition, she is responsible for the management of executive client relationships across the region including supporting the company’s alliances and partners.
Prior to joining Vertex in 1992, Penny worked with IBM new business clients to implement financial, distribution and manufacturing systems. She attended the University of North Texas.
Executive Vice President
As Executive Vice President, John Viglione is a member of the Executive Council at Vertex, responsible for the strategic and operational alignment of the company. In addition, John is responsible for Vertex’s leadership in multiple industry standards organizations related to the technology, financial, and tax industry.
John initially joined Vertex as its Chief Technology Officer to complete the introduction of its then early market client/server offerings, while leading the efforts to architect its next generation global transactional system, known today as Vertex Indirect Tax O Series, an on-premise and cloud technology platform.
John is active in the technology and industry analyst community associated with the global technology eco-systems, and responsible for business development and partner ventures.
Prior to joining Vertex, John spent more than 15 years within Fortune 500 companies, focusing on comprehensive enterprise IT initiatives.
He earned a B.S. from St. Joseph’s University and an MBA from The Pennsylvania State University.

Ric Andersen joined the Vertex Board of Directors in February 2008. He has more than ten years of private equity experience and over 25 years of consulting and management experience at IBM, Price Waterhouse, and PwC Consulting.
Currently he is a partner at Peak Equity, a Philadelphia-based private equity firm focused on lower middle market enterprise software. Prior to joining Peak, Ric was a partner at Milestone Partners, a Philadelphia-based private equity firm, he was also a managing director at Silver Lake Partners, a technology-focused private equity firm based in New York.
During his tenures with Price Waterhouse, PwC Consulting, and IBM, Ric was a senior partner who built and managed enterprise software/ERP businesses, as well as business process outsourcing operations. He spent much of his early career leading large-scale business improvement programs for Fortune 500 companies in the technology sector, as well as other industries.
Ric is currently a director on the Boards of two other privately held companies, G5 and EnterpriseDB. In addition, he serves on the Board of the publicly traded online education corporation, American Public Education Inc., as well as the Board of the Barra Foundation, a large charitable foundation.
A member of the American Institute of Certified Public Accountants, Ric holds an MBA from the Wharton School at the University of Pennsylvania and a BS from Bucknell University.
Terrence Kyle joined the Vertex Board of Directors in June 2004. Terry is currently a partner with WIN Capital, LLC, a private equity group that invests in emerging growth companies from the manufacturing, technology, and service markets.
As Senior Vice President and CFO of Shared Medical Systems (SMS), Terry helped take the company public in 1976 and was responsible for moving the stock from the NASDAQ Stock Market to the New York Stock Exchange in 1997. He also led the team that negotiated the sale of SMS to the Siemens Corporation in July 2000. During his 24-year career at SMS, the company grew from $35 million in revenue and more than 650 employees in the US to $1.2 billion in revenue and more than 7,500 employees spanning 22 countries.
Terry received his B.S. in Accounting from Drexel University and is a Certified Public Accountant. He began his career with Arthur Andersen & Company and is a member of the American Institute of Certified Public Accountants and the Pennsylvania Institute of Certified Public Accountants.
Kevin Robert joined the Vertex Board of Directors in February 2015. Named one of the “Top 100 Most Influential People” by Accounting Today magazine, Kevin spent more than three decades at Wolters Kluwer Tax & Accounting, the $1.27 billion global division of the $4.6 billion company.
Beginning as an Account Sales Manager in 1981 with CCH Computax, Kevin steadily progressed through leadership positions at CCH Computax and CCH Publishing before being named President and CEO of CCH Tax Compliance in 2001. Following the company’s 1995 acquisition by Wolters Kluwer, Kevin led the Tax & Accounting division’s operations in North America and Asia Pacific before being named Global CEO in 2010. During his tenure, revenue grew 11% and EBITDA increased 66%.
Kevin brings deep experience in developing and marketing leading-edge accounting, tax and audit software and information solutions for accounting and tax professionals around the world. His multi-national experience includes developing business in North America, South America, Europe and the Pacific Rim, identifying global opportunities and negotiating the acquisition of companies.
Kevin holds a B.S. in Marketing from the University of New Orleans and an MBA in Management from Pepperdine University. He also serves on the Board of Epiq Software.
Rick Stamm joined the Vertex Board of Directors in January of 2019. Rick has more than 40 years of experience in tax advisory, tax compliance and tax technology services. He was a partner with PricewaterhouseCoopers LLP (PwC) for 30 years, during which he served a long list of domestic and international clients and held numerous leadership positions. Over the final 12 years of his career with PwC he was the firm’s Vice Chairman and US Tax Leader and then the PwC Network’s Vice Chairman of Global Tax. He retired from PwC in 2016.
Currently he is Vice President and Chief Financial Officer of Stamm Development Group LLC, a Philadelphia area real estate developer, where he is responsible for overseeing the company’s financial matters. Rick also handles investor and lender relations and advises on the tax and financial aspects of projects.
Rick is a graduate of Lycoming College with a degree in Accounting and is a Certified Public Accountant. He is a member of the Board of Advisors for the Leventhal School of Accounting at the University of Southern California. Rick is also a member of The Union League of Philadelphia and The Philadelphia Cricket Club. He was formerly a member of the Boards of Germantown Academy and Lycoming College.
Amanda Westphal Radcliffe
Board Member and Co-Owner, Vertex Inc.
Amanda has served on the Board of Directors for Vertex Inc. since 1993. The company was founded by her father Ray Westphal in 1978, and now is co-owned by she and her siblings Jeff Westphal and Stefanie Westphal Thompson.
Her “lifetime” Vertex tenure has included many operational roles, from technical software instructor and production, to middle market product teams.
Prior to joining Vertex, Amanda owned and successfully transitioned a multi-million-dollar personal care business to a national company. She also enjoyed an accomplished career at a global corporate travel management company, where she was a middle market Managing Director.
Amanda serves on the Nominating and Governance Committee of the Vertex Board and is passionate about excellence in private company corporate governance. Underscoring the company’s strong commitment to the community, she championed a project to implement a diversity program that includes partnering with an organization that specializes in placing talented individuals on the autism spectrum into the company’s workforce. She is also the shareholder steward of the company’s corporate philanthropy program.
She holds a B.A. from Moravian College, attended business school at Drexel University and Executive Education at the Wharton School.
Amanda serves on the Children’s Hospital of Philadelphia Board of Trustees, Foundation Board of Overseers, the St. Joe’s University Kinney Center for Autism, Education and Support Advisory Board. She is Chair of the Drexel University, A.J. Drexel Autism Institute Board, and Chair Emeritus of Breastcancer.org. Amanda is also a member of the Philadelphia Chapter of Women Corporate Directors.
Stefanie Westphal Thompson
Board Member and Co-Owner, Vertex Inc.
Stefanie Westphal Thompson, co-owner of Vertex, joined the company in 1991. She is currently Treasurer and serves on the Vertex Board of Directors. Prior to joining Vertex, Stevie was a vice president at Chemical Bank (now part of Chase), where she specialized in managing the banking relationship for middle market companies, including lending and cash management.
Stevie sat on Bryn Mawr Hospital’s Foundation Board for eight years, serving as Head of their Trustee Committee and as Vice-Chair. She also served on the Board of the Agnes Irwin School in Rosemont, Pennsylvania, for 10 years, heading its Trustees Committee.
Stevie earned an MBA in Finance from Fordham University and has dual Bachelor’s degrees in Engineering and Economics from Lafayette College. She is married with five daughters and enjoys golf, paddle tennis, bridge, travel and is an avid Philly sports fan.
Chairperson of the Board of Directors and Co-Owner, Vertex Inc.
Jeff Westphal is Chairperson of the Board of Directors and co-owner of Vertex.
In 1988, he joined the company founded by his father, Ray Westphal. During his tenure, he has served as Director of Marketing, Vice President of Sales and Marketing, and later as Executive Vice President. He was promoted to President in 1996 and to Chief Executive Officer in 2001.
Under Jeff's stewardship, Vertex has established consulting and implementation service offerings, established European and Brazilian operations, and expanded to become the global leader in Enterprise Tax Performance solutions. During his tenure, Vertex was also awarded one of the "Top Workplaces" in the Delaware Valley and "The Best Place to Work in Pennsylvania.” Since its start in 1978, Vertex has grown to around 900 professionals at its headquarters in the U.S. (Berwyn, PA) and its global offices in Europe (London), Brazil (São Paulo), Dallas, Fort Collins, Naperville, Phoenix, San Francisco, Sarasota and Seattle.
Jeff is a member of the Institute for Professionals in Taxation (IPT), World Presidents' Organization (WPO), the Conference Board, where he currently serves as Chairman of the Middle Market Executive Council, and is also a frequent speaker to business and community organizations. Jeff served as Chairman of the Board of Open Connections, Inc. (a not-for-profit open educational organization) for 15 years and remains a trustee. In addition, he is Co-founder with his wife, Jenifer, of Kyle's Treehouse, (kylestreehouse.org), a web-based resource for families seeking hope and guidance for the treatment of children diagnosed with Autism Spectrum Disorder.
Unique in the tax technology industry, Vertex's Chief Tax Office (CTO) provides insight regarding the impact of tax regulations, policy, enforcement and emerging technology trends on global tax department operations. The Vertex CTO group consists of former tax executives from various Fortune 500 multinationals, who bring their in-house tax and industry expertise to Vertex's solution development, services and customer interactions. The CTO group understands the data management challenges for both transaction and income taxes as they relate to the functions of compliance, financial reporting, as well as planning and audit controversy.
Michael J. Bernard
Chief Tax Officer – Transaction Tax
Michael Bernard is Chief Tax Officer-Transaction Tax for Vertex. In his role he provides insight and thought leadership around tax department operations, U.S. indirect tax, tax risk management, and tax policy, as well as emerging tax trends.
He is an executive level tax attorney with a diverse portfolio of experience in corporate tax, administration and finance, including a substantive knowledge of U.S. and international tax laws. Prior to joining Vertex, Michael was in various tax leadership roles at Microsoft Corporation for 28 years, the most recent being Senior Director – Tax Counsel. Michael led teams in the following functional areas: direct and indirect tax controversy, sales and use, business license, property, tax IT, SOX and telecommunications. He also co-led a corporate taxpayer advocacy group with the Washington Department of Revenue and was a Director on the Board of the Washington Research Council. Michael has also testified before administrative and law makers at both the federal and state level.
Michael earned both a J.D. and a Bachelor of Science in Business Administration from Creighton University. He is a part-time lecturer of Law in the LLM program at the University of Washington School of Law. Michael also served on the board of directors, executive committee and chaired committees for The Tax Executives Institute (TEI) for nearly 25 years.
Director in the Chief Tax Office
Nancy Manzano is a Director in the Chief Tax Office at Vertex, responsible for insight and thought leadership regarding in-house corporate tax department operations, spanning income, global and transaction tax.
Nancy’s areas of expertise include federal, state and local corporate income taxation and accounting for income taxes and her particular focus has been on tax for the financial services industry. Prior to joining Vertex, Nancy was a Tax Director at 21st Century/Farmers Insurance and MBNA America Bank. She was also a Supervising Tax Analyst at in the Philadelphia office of KPMG.
Nancy is a licensed CPA, has a B.S. in Business Administration from Drexel University and a M.S. in Taxation from Widener University.
George L. Salis
Principal Economist and Tax Policy Advisor
George L. Salis is Principal Economist and Tax Policy Advisor and is also an economist, lawyer and tax professional with 23+ years of experience in international taxation and trade compliance, tax planning and controversy, fiscal regulation and tax economics consulting. George holds a BSc in economics and political science, an LLB, an M.A. in legal and ethical studies and an LLM in international tax law. He also holds a PhD in international law and economic policy and is a certified business economist.
